Agreement and scope
These Terms of Service (the Terms) are a binding agreement between you and NovaKore Corp. (NovaKore, we, us, or our). They govern your access to NovaKore websites, mobile apps, waitlists, livestreaming, community, creator, discovery, messaging, referral, and related services (together, the Services).
By accessing or using the Services, creating an account, or joining the waitlist, you agree to these Terms and our Privacy Policy. If you use NovaKore for an organization, you confirm that you can bind that organization. If you do not agree, do not use the Services.
Eligibility and younger users
You must be at least 13 years old and legally permitted to use the Services. If the law where you live requires a higher age for you to consent to online services or data processing, that higher age applies. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms for you.
We may ask for information reasonably needed to confirm age or eligibility and may restrict or close an account when we cannot verify it.
Waitlist, pre-launch access, and referrals
Joining the waitlist expresses interest; it does not guarantee access, a launch date, placement, features, promotion, creator income, or availability in your region. Beta and pre-release features may be incomplete, changed, paused, or removed.
Referral counts, badges, founding-member status, rewards, and promotional opportunities have no cash value unless we say otherwise in written program rules. We may verify referrals and disqualify duplicate, automated, fraudulent, paid, or self-referred signups. We may change or end a pre-launch or referral program, but we will not remove an earned paid benefit contrary to applicable law.
Accounts and account security
Provide accurate, current information and keep it updated. You are responsible for protecting your credentials and for activity under your account. Tell us promptly at support@novakore.xyz if you suspect unauthorized access.
You may not sell, transfer, rent, or share an account in a way that misleads others or bypasses enforcement. We may reclaim usernames that impersonate another person, infringe rights, are inactive, or are needed for platform administration.
Your content and permissions
You keep ownership of content you submit, upload, stream, post, or otherwise make available through NovaKore (User Content). You are responsible for it and must have all rights and permissions needed to share it, including rights to music, gameplay footage, images, voices, trademarks, and people appearing in it.
You grant NovaKore a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transcode, adapt for technical formats, transmit, distribute, display, perform, and make User Content available only as needed to operate, secure, improve, and promote the Services. This license ends when the content is deleted, except for reasonable backups, content shared with others that they retain, legal obligations, and promotional material used with your separate permission.
You also permit us to use your account name, profile image, and public activity to attribute and present your User Content within the Services. Nothing here transfers ownership of your content to NovaKore.
Acceptable use
Do not use the Services to:
- break the law or infringe intellectual property, privacy, publicity, or other rights;
- harass, threaten, exploit, deceive, or expose another person's private information;
- share sexual exploitation material, non-consensual intimate content, credible threats, or content that promotes terrorism or serious violence;
- spam, manipulate engagement, run fake accounts, scrape data, or collect information without permission;
- upload malware, probe security, evade rate limits, reverse engineer protected systems, or interfere with the Services;
- misrepresent sponsorship, identity, results, audience size, or affiliations; or
- use automated systems except through interfaces we expressly provide or approve.
Additional community, safety, contest, monetization, or feature rules presented in the Services form part of these Terms.
Moderation and enforcement
We may investigate suspected violations and may remove or limit content, reduce distribution, restrict features, preserve evidence, suspend accounts, or terminate access. We may report conduct to authorities when required or reasonably necessary to protect people, rights, or the Services.
We do not promise to monitor every item or dispute. Enforcement decisions may consider context, severity, history, safety, and legal obligations. Where appropriate, we may offer notice or an appeal path, but immediate action may be necessary.
Third-party services
The Services may link to or integrate with streaming, music, authentication, payment, cloud, analytics, and social platforms. Their terms and privacy practices govern your relationship with them. NovaKore does not control and is not responsible for third-party content, availability, security, or decisions.
Do not use NovaKore to bypass another platform's rules. An integration may stop working if a provider changes or withdraws access.
Paid features and creator opportunities
Some future features may involve subscriptions, purchases, tips, campaigns, sponsorships, payouts, or revenue sharing. Before a transaction, we will show material price and billing terms and may require additional terms. Taxes, reporting, and eligibility obligations may apply.
NovaKore does not guarantee earnings, sponsorships, discovery, audience growth, or campaign availability. Creator opportunities may depend on location, age, audience, conduct, advertiser requirements, and other stated criteria.
NovaKore property and rights complaints
The Services, including our software, design, branding, and original content, are owned by NovaKore or its licensors and protected by law. These Terms give you a limited, revocable, non-transferable right to use the Services for their intended purpose; they do not grant rights to our trademarks or source code.
To report claimed infringement, email legal@novakore.xyz with your contact details, the protected work or right, the material and its location, the basis for your claim, and a statement that the report is accurate and made in good faith.
Changes, suspension, and termination
We may add, change, limit, or discontinue features and may perform maintenance without notice when reasonably necessary. We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
You may stop using the Services at any time. We may suspend or terminate access for a Terms violation, legal or security risk, prolonged inactivity, or discontinuation of the Services. Provisions that logically should survive termination, including ownership, required licenses, disclaimers, liability limits, indemnity, and dispute terms, will survive.
Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." NovaKore and its affiliates disclaim implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing.
We do not endorse or guarantee User Content, users, opportunities, audience results, third-party products, or information found through the Services. Nothing in these Terms excludes a warranty or consumer right that applicable law does not allow us to exclude.
Limitation of liability
To the fullest extent permitted by law, NovaKore and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, opportunity, or business interruption, arising from the Services.
To the fullest extent permitted by law, their total aggregate liability for all claims arising from the Services will not exceed the greater of (a) CA$100 and (b) the amount you paid NovaKore for the Services during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited, including liability that cannot legally be limited.
Your responsibility for claims
To the extent permitted by law, you will defend, indemnify, and hold harmless NovaKore and its affiliates, officers, directors, employees, and agents from third-party claims, losses, and reasonable legal fees arising from your User Content, your unlawful or unauthorized use of the Services, or your material breach of these Terms. This does not require you to cover a claim caused by NovaKore's own unlawful conduct.
Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to any mandatory right you have to bring a claim elsewhere, the courts located in Toronto, Ontario have exclusive jurisdiction.
Before filing a claim, you and NovaKore agree to try in good faith for 30 days to resolve it informally after written notice. This does not prevent either party from seeking urgent injunctive relief, reporting to a regulator, or exercising non-waivable consumer rights.
Changes and general terms
We may update these Terms as the Services and law change. We will post the new date and provide additional notice for material changes when required. Continued use after the effective date means you accept the updated Terms; if you do not agree, stop using the Services.
These Terms and incorporated policies are the entire agreement about the Services. If one provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, sale, or by operation of law.
